These Terms of Service ("Terms") govern your access to and use of the 360 Tech Box platform ("Service"), operated by SDG Strategy LLC ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
The Service is a white-label field technology platform provided to businesses ("Organizations") and their authorized team members ("Users"). Access is granted by invitation only. You may use the Service only for your organization's lawful business purposes and in accordance with these Terms.
You agree not to:
Access to the Service requires an authorized account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
Organization administrators are responsible for managing user access within their organization, including inviting users and controlling which tools each user can access.
Access to the Service is provided on a subscription basis. Subscription fees are charged per user per tool per month, billed in advance. By subscribing, you authorize us to charge your payment method on a recurring basis.
We reserve the right to modify pricing with reasonable advance notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
Subscriptions may be cancelled at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods.
The Service, including its design, code, and content, is owned by SDG Strategy LLC and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.
Content you submit through the Service (reports, voice recordings, messages) remains yours. By submitting content, you grant us a limited license to process and store it solely for the purpose of providing the Service to you.
The Service relies on third-party providers including Google Firebase, Cloudflare, Anthropic, and OpenAI. Your use of the Service is also subject to the applicable terms and policies of these providers. We are not responsible for the actions or omissions of third-party service providers.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
AI-Generated Content — No Reliance. The AI Assistant and other AI-powered features of the Service generate responses based on probabilistic language models. These responses may be incomplete, outdated, inaccurate, or simply wrong. AI-generated content is provided for general informational and productivity purposes only and does not constitute professional, legal, financial, safety, engineering, medical, or any other form of expert advice.
YOU ACKNOWLEDGE AND AGREE THAT: (a) AI-generated responses are not a substitute for your own professional judgment, training, experience, and knowledge; (b) you are solely responsible for evaluating the accuracy and appropriateness of any AI-generated content before acting on it; (c) no AI output should be followed blindly — you are expected to apply your own knowledge, expertise, and common sense to determine whether any suggested action is appropriate for your specific situation; and (d) we make no representation that AI-generated content is suitable for your particular use case or jurisdiction.
If you choose to act on AI-generated suggestions without exercising independent judgment, you do so entirely at your own risk. The platform is a tool to assist professionals — it does not replace them.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SDG STRATEGY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AI Output Liability Exclusion. Without limiting the foregoing, SDG Strategy LLC shall have no liability whatsoever for any harm, loss, damage, injury, cost, or expense of any nature arising from or related to: (a) any action taken or not taken based on AI-generated content; (b) your reliance on AI responses without independent verification or the application of your own professional judgment; (c) errors, omissions, or inaccuracies in AI-generated output; or (d) decisions made by you or your organization based in whole or in part on AI suggestions. This exclusion applies regardless of the theory of liability and regardless of whether such damages were foreseeable.
Our total cumulative liability to you for any and all claims arising from or related to these Terms or your use of the Service shall not exceed the total fees you actually paid to us in the three (3) calendar months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify and hold harmless SDG Strategy LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.
We may suspend or terminate your access to the Service at any time if you violate these Terms or if your organization's subscription lapses. You may terminate your account at any time by contacting your organization's administrator or us directly.
We may update these Terms from time to time. We will notify you of material changes with reasonable advance notice. Continued use of the Service after updated Terms take effect constitutes your acceptance.
These Terms are governed by the laws of the State of Kansas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in the State of Kansas.
